The terms governing your use of services provided by Spade Business Systems, Spade Marketing, and all affiliated companies.

1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, products, and services provided by Spade Business Systems, Spade Marketing, and their affiliated companies (collectively, "Spade," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
2. Definitions
"Services" refers to all digital, technology, commerce, and marketing solutions offered by Spade and its affiliates, including but not limited to managed IT, software development, cybersecurity, e-commerce, branding, advertising, SEO, and automation services. "Client" refers to any individual or entity engaging Spade for services. "Affiliates" refers to entities under common control or ownership with Spade Business Systems or Spade Marketing.
3. Services & Engagement
Specific services, deliverables, timelines, and fees are governed by separate service agreements, proposals, or statements of work executed between Spade and the Client. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails. Spade reserves the right to modify, suspend, or discontinue any service at any time.
4. Client Responsibilities
Clients agree to provide accurate information, timely access to systems and personnel, and necessary resources required for the delivery of services. Clients are responsible for the legality and accuracy of content, data, and materials they provide. Clients must maintain the security of their own credentials and systems.
5. Intellectual Property
All intellectual property created by Spade, including methodologies, software, designs, frameworks, and proprietary tools, remains the property of Spade and its affiliates unless explicitly transferred in writing. Upon full payment, clients receive a limited license to use deliverables for their internal business purposes. Spade retains the right to reference its work for portfolio and marketing purposes.
6. Payment Terms
Fees and payment schedules are defined in the applicable service agreement. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest charges and suspension of services. All fees are non-refundable except where required by law or explicitly stated in a signed agreement.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of engagement. This obligation survives termination of any agreement. Spade and its affiliates will protect client confidential information with the same degree of care used to protect their own.
8. Warranties & Disclaimers
Spade provides services on an "as is" and "as available" basis. We do not guarantee specific business outcomes, revenue results, or uninterrupted service availability. To the fullest extent permitted by law, Spade disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Spade and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business interruption, arising from or related to the use of our services. Spade's total aggregate liability is limited to the fees paid by the client for the services giving rise to the claim.
10. Indemnification
Clients agree to indemnify and hold harmless Spade, its affiliates, and their respective officers, employees, and partners from any claims, damages, losses, or expenses arising out of client-provided content, materials, or breach of these Terms or any service agreement.
11. Third-Party Services
Our services may integrate with or rely on third-party platforms, tools, and services. Spade is not responsible for the performance, availability, or practices of third-party services. Clients are responsible for complying with the terms of any third-party platforms they use.
12. Data & Privacy
Our collection, use, and protection of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Clients remain responsible for ensuring they have appropriate rights and consents to share any personal data they provide to Spade.
13. Termination
Spade may suspend or terminate access to services for violation of these Terms, non-payment, or at the end of a service term. Upon termination, all outstanding fees become immediately due. Provisions that by their nature should survive termination, including confidentiality and liability limitations, will continue in effect.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which Spade Business Systems is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise agreed in writing.
15. Changes to These Terms
We may revise these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
